1. Acceptance of Terms

By accessing or using Kineclip ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service. These terms apply to all visitors, users, and others who access or use the Service. You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to create an account or use the Service.

2. Description of Service

Kineclip is an AI-powered video generation platform that creates short-form video content and can automatically publish to social media platforms. The Service includes video generation, image-to-video generation from photos you upload, scheduling, and publishing features based on your subscription tier and credit balance. We may add, change, or remove features over time.

3. User Accounts

To use certain features of the Service, you must create an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Keep your password secure and confidential
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized use of your account

4. Subscriptions, Billing, and Auto-Renewal

Some features of the Service require a paid subscription. By subscribing, you agree to:

Pay all fees associated with your subscription plan, including any add-on series you select
Automatic renewal: subscriptions renew automatically each billing period (monthly or yearly) until you cancel. You can cancel at any time from your dashboard.
Provide and maintain valid payment information
Price changes, which we will announce by email at least 30 days before they take effect. A price change never applies part-way through a period you have already paid for — it applies from your next renewal on or after the announced date, and you can cancel before then.

If a renewal payment fails, we may immediately suspend paid features (including video generation and scheduled publishing) until payment is completed, and may cancel the subscription if payment is not completed after our payment processor's retry period. Payments are processed by Stripe; we do not store your full card details.

4a. Your Video Allowance

Each billing period your plan includes a set number of videos. How that allowance behaves:

Unused videos roll over once. Videos you don't use in a billing period carry into the next one, but no further — you will never hold more than two periods' worth at a time. Anything older expires. Your subscription continues to renew and be charged as normal whether or not you use your allowance.
Your videos belong to your account, not to one series. If you delete a series, videos you have already paid for are not lost — they are scheduled onto whatever series you have next.
After you cancel, you have 30 days to claim videos you already paid for. The 30 days run from the date you cancel. During that window you can generate, view and download those videos.
Automatic publishing to your social accounts requires an active subscription. Generating videos is what your subscription buys; publishing them on your behalf is an ongoing service, so it stops when the subscription does — including during the 30-day window above, where you can still download your videos and post them yourself.
Videos included with a promotional trial are part of that trial and are not claimable after the trial ends, whether you cancel or continue on a paid plan.
A video counts against your allowance only when it is successfully delivered to you. Failed or held generations do not use up your allowance.

5. Promotional Trial

First-time subscribers on monthly plans may be offered a paid promotional trial (currently $4.99 for 7 days). By starting a trial, you acknowledge and agree that:

The trial fee is charged immediately and is non-refundable
The trial includes limited usage (for example: one series, a capped number of videos, and a limited number of AI credits — the exact limits for your selected plan are shown before you purchase), and some features (such as scheduling and auto-posting) unlock only when the trial converts to a paid plan
Unless you cancel before the trial period ends, your selected plan starts automatically at its full price when the trial period ends
The trial is available once per customer; we may withhold it in cases of abuse
You may instead choose to skip the trial and start a full plan immediately

6. Credits and AI Video Generation

Certain generation features consume credits, which are included with subscriptions and/or purchased in credit packs. You agree that:

The credit cost of each generation is displayed before you start it and may vary by model and video length; credit pricing may change over time
Credits have no cash value, are non-transferable, and are non-refundable
Credits are deducted when a generation begins, after our pre-checks pass. Once a generation has entered processing, the charge is final — including where you request cancellation after processing has started, or where the output is delivered with degraded post-processing. If a generation fails before processing begins, the deducted credits are automatically returned
Generations (including failed attempts) may count toward fair-use rate limits and daily generation limits
Subscription-included monthly credits are granted per paid billing period and are separate from your plan's monthly video quota

7. Refund Policy

All sales are final. We do not offer refunds for subscription payments, trial fees, credit purchases, consumed credits, or unused portions of a billing period. You may cancel your subscription at any time to prevent future charges, and you will retain access to paid features until the end of the current billing period. Any refund or credit we choose to issue in a specific case is discretionary and does not create an obligation to do so again.

8. Promotions and Referral Program

Promotional codes are one-time offers, have no cash value, cannot be combined with other offers (including the promotional trial) unless stated, and may be modified or withdrawn at any time
Our referral program may award bonus credits to a referrer and a referred user. Rewards are granted only when the program's conditions are met (currently: both accounts hold active paid subscriptions) and both accounts are in good standing
Self-referrals, duplicate accounts, and fraudulent or abusive referral activity are prohibited and may result in forfeiture of rewards and account termination
We may modify, suspend, or terminate the referral program at any time

9. Your Uploads

Some features let you upload content — for example, a photo used to generate a video. For anything you upload, you represent and warrant that:

You own the content or have all rights and permissions needed to use it with the Service
If the content depicts a real, identifiable person, you have that person's consent to use their likeness in AI-generated video (and, if they are a minor, the consent of their parent or legal guardian)
The content does not infringe any third party's rights or violate any law

You grant us a limited license to host, process, and transmit your uploads (including to the AI providers we use) solely to provide the Service. Uploads are screened by automated moderation and may be rejected or removed; we may also remove any content that we reasonably believe violates these terms.

10. Content Guidelines

You are responsible for all content generated through your account. You agree not to use the Service to create or publish content that:

Violates any laws or regulations
Infringes on intellectual property rights
Contains hate speech, harassment, or discrimination
Promotes violence or illegal activities
Is sexually explicit, or sexualizes or endangers minors in any way
Impersonates a real person, or uses a real person's likeness or voice without their consent (including deceptive "deepfake" content)
Contains misleading or deceptive information
Violates the terms or community guidelines of social media platforms

11. AI-Generated Content

Content created by Kineclip is generated using artificial intelligence. While we strive for quality and accuracy, AI-generated content may contain errors, inaccuracies, or artifacts, and similar or overlapping outputs may be generated for other users from similar inputs. You are responsible for reviewing and verifying content before publishing. We recommend disclosing that content is AI-generated when required by platform policies or applicable law.

12. Intellectual Property

As between you and Kineclip, you own the videos generated for your account, to the extent permitted by applicable law governing AI-generated works. By using Kineclip, you grant us a license to process, store, and transmit your content as necessary to provide the Service. Watermarked free samples are provided for evaluation and unlock for full use when you subscribe. The Kineclip platform, including its design, features, and underlying technology, remains our intellectual property.

13. Third-Party Services

The Service integrates with third-party platforms (TikTok, YouTube, Instagram, Facebook) and relies on third-party AI and infrastructure providers to generate content and operate. Your use of platform integrations is subject to those platforms' own terms of service. We are not responsible for the actions, availability, or policies of third-party platforms, including decisions to remove content, restrict accounts, or change their APIs.

14. Auto-Publishing and Social Media

Kineclip offers automated publishing features that can post AI-generated videos directly to connected social media platforms. By connecting an account and enabling auto-publishing, you acknowledge and agree that:

Auto-publishing is user-enabled and, once configured, may post videos to your connected social media accounts without per-video manual review — including, where you accept the option at connection time, posting your existing generated videos to a newly connected account
You are solely responsible for all content published to social media platforms via auto-post, including any AI-generated text, images, audio, and video
You must comply with each platform's policies, including but not limited to TikTok's Community Guidelines, branded content policies, and content disclosure requirements
AI-generated content will be labeled as such on platforms that require disclosure of synthetic or AI-generated media. You are responsible for ensuring any additional disclosures required by applicable laws or platform policies

You may disable auto-publishing or disconnect social accounts at any time via your Dashboard settings.

15. Service Availability and Changes

We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation, specific generation turnaround times, or that any video will be published at an exact scheduled time. We do not guarantee any particular outcome from using the Service — including views, followers, reach, platform approval, or monetization. We may modify, replace, or discontinue features (including AI models used for generation) at any time.

16. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

17. Limitation of Liability

To the maximum extent permitted by law, Kineclip shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, goodwill, or other intangible losses resulting from your use of the Service, third-party platform actions, or AI-generated content. To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service shall not exceed the amounts you paid to Kineclip in the twelve (12) months before the event giving rise to the claim.

18. Indemnification

You agree to indemnify, defend, and hold harmless Kineclip and its operator from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) content you upload, generate, or publish through the Service; (c) your violation of these terms; or (d) your violation of any law or the rights of a third party, including intellectual-property and likeness/publicity rights.

19. Dispute Resolution — Binding Arbitration and Class-Action Waiver

Please read this section carefully — it affects your legal rights.

Informal resolution first: before filing a claim, you agree to contact us at info@kineclip.com and give us 30 days to work with you to resolve the dispute informally
Binding arbitration: any dispute arising out of or relating to these terms or the Service that is not resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Hearings may be conducted by videoconference. Judgment on the award may be entered in any court of competent jurisdiction
Class-action waiver: disputes shall be brought only on an individual basis. YOU AND KINECLIP EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING
Small-claims carve-out: either party may instead bring an individual claim in small-claims court where jurisdictionally proper
Opt-out: you may opt out of this arbitration agreement by emailing info@kineclip.com within 30 days of first accepting these terms, stating your account email and your intent to opt out

20. Governing Law and International Use

These terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-law rules. For any matter not subject to arbitration, you and Kineclip consent to the exclusive jurisdiction of the state and federal courts located in Florida. The Service is operated from the United States; if you use it from elsewhere, you are responsible for compliance with your local laws. If you are a consumer in a jurisdiction whose laws grant you non-waivable rights (for example, in the EU or UK), nothing in these terms limits those statutory rights.

21. Copyright Complaints

We respond to notices of alleged copyright infringement consistent with the Digital Millennium Copyright Act (DMCA). Send notices identifying the copyrighted work, the allegedly infringing material, and your contact details to info@kineclip.com. We may terminate accounts of repeat infringers.

22. Termination

We may suspend or terminate your account at any time for violations of these terms. You may cancel or delete your account at any time through your account settings. Upon termination, your right to use the Service ceases immediately; remaining credits and any active subscription are forfeited where termination results from your breach of these terms. Sections of these terms that by their nature should survive termination (including Sections 7, 12, and 16–20) survive.

23. Changes to Terms; Miscellaneous

We reserve the right to modify these terms at any time. We will notify users of significant changes via email or through the Service; continued use after changes constitutes acceptance. If any provision of these terms is held unenforceable, the remaining provisions remain in effect. These terms, together with our Privacy Policy, are the entire agreement between you and Kineclip regarding the Service. Our failure to enforce a provision is not a waiver of it.
